Articles of Association of W.O.R.K. Residents\u2019 Association<\/strong><\/p>\n\n\n\n

1. The name of the association is W.O.R.K. Residents\u2019 Association.<\/p>\n\n\n\n

2. The area represented by WORK Residents\u2019 Association is bounded on the north side by the River Poddle, on the east side by Wellington Lane, on the south side by the Templeogue \/ Tallaght road and on the west side by Tymon Park and encompasses Wellington Cottages, Willington estate, Osprey estate, Rushbrook estate, Wilderwood Grove and Kennington estate.<\/p>\n\n\n\n

3. The objects for which WORK Residents\u2019 Association is established are:<\/p>\n\n\n\n

(a) To promote and protect the interests of the residents of the area;<\/p>\n\n\n\n

(b) To strive to improve amenities in the area;<\/p>\n\n\n\n

(c) To cultivate a community spirit and promote special functions as required;<\/p>\n\n\n\n

(d) To receive money by donation, gift, subscription or otherwise and to apply such funds to or upon any of the objects of the association;<\/p>\n\n\n\n

(e) To hold its funds in a Bank or other financial institution approved by the Annual General Meeting of the association;<\/p>\n\n\n\n

(f) To pay from its funds for any bills, services or transactions lawfully conducted by the association;<\/p>\n\n\n\n

(g) To do all such things as are incidental or conducive to the above objects or any of them<\/p>\n\n\n\n

4. The income and property of the association from whencesoever derived shall be applied solely towards the promotion of the objects of the association set out above and no portion thereof shall be paid directly or indirectly by way of dividend or otherwise by way of profit to the members except in the event of a dissolution of the association.<\/p>\n\n\n\n

Members<\/strong><\/p>\n\n\n\n

1. The members of WORK Residents\u2019 Association at any one time are the home-owners of the residences in the WORK area who have paid an annual membership subscription for that year.<\/p>\n\n\n\n

2. WORK Residents\u2019 Association shall admit to membership householders from its area upon payment of an annual membership fee.<\/p>\n\n\n\n

3. The level of the annual membership fee shall be set by the committee of the association at a meeting duly convened for that purpose.<\/p>\n\n\n\n

General Meetings<\/strong>.<\/p>\n\n\n\n

1. WORK Residents\u2019 Association shall hold at least one general meeting in each year as its Annual General Meeting, AGM.<\/p>\n\n\n\n

2. The Annual General Meeting AGM shall be held in October \/ November each year.<\/p>\n\n\n\n

3. All members shall receive at least seven (7) days\u2019 notice of the Annual General Meeting; notice of the meeting shall specify the venue, date, time and agenda of the meeting.<\/p>\n\n\n\n

4. The business of the AGM shall include a Secretary\u2019s Report on the activities of the Association for the Financial year ending 30th August of that year, consideration of the Financial Accounts and Balance sheet, the election of members to the Committee and consideration of motions proposed and seconded to the meeting.<\/p>\n\n\n\n

5. The Annual General Meeting shall be chaired by the Chairperson or, in the absence of the Chairperson by the Vice Chairperson.<\/p>\n\n\n\n

6. The Committee of WORK Residents\u2019 Association may, whenever it deems necessary or appropriate, convene an Extraordinary General Meeting giving due notice (seven days) to all members and specifying in the notice the special business upon which the meeting has been convened.<\/p>\n\n\n\n

7. Voting on any motion at the AGM shall be by show of hands.<\/p>\n\n\n\n

WORK Residents\u2019 Association Committee.<\/strong><\/p>\n\n\n\n

(1) The members of WORK Residents\u2019 Association may, at the Annual General Meeting, elect from among them, at least nine members, duly proposed and seconded, to oversee the work of the Association until the following AGM. Should a member who is being proposed and seconded for election to the Committee be unable to attend the meeting it will be necessary, prior to the AGM, to secure his\/her consent to being nominated.<\/p>\n\n\n\n

(2) A meeting of the newly elected committee shall be convened by the outgoing Chairperson (or in the absence of the Chairperson by the outgoing Vice-Chairperson) within three weeks of the holding of the AGM. The meeting shall elect the following officers: Chairperson, Vice Chairperson, Secretary, Treasurer, Communications\/ Promotion Officer.<\/p>\n\n\n\n

(3) It shall be open to the Committee to appoint one of its members to any other role which it deems necessary for the efficient conduct of the Association\u2019s business for the year.<\/p>\n\n\n\n

(4) The newly elected officers shall take up their office immediately upon their election.<\/p>\n\n\n\n

(5) All books, records, ledgers, etc., the property of WORK Residents\u2019 Association, shall be handed over to the newly elected officer charged with their maintenance and safe keeping.<\/p>\n\n\n\n

(6) The Committee shall cause proper books of account to be kept relating to all sums of money received and expended by the Association and the matters in respect of which the receipt and expenditure takes place.<\/p>\n\n\n\n

(7) The Association shall maintain an account with a bank or other financial institution which is regulated by the Central Bank of Ireland.<\/p>\n\n\n\n

(8) The Committee shall maintain a record of membership subscriptions from households.<\/p>\n\n\n\n

(9) The Committee shall meet at least 5 times during the year. An update on the activities of the Association and its finances shall be provided to all meetings of the Committee.<\/p>\n\n\n\n

(10) It shall be open to the Committee to co-opt a member during the year.<\/p>\n","protected":false},"excerpt":{"rendered":"
